ARBITRATION NOTICE: This Telehealth Consent incorporates by reference the VirtuallyWell Terms of Use, which contain a binding arbitration agreement, class action waiver, and jury trial waiver. By accepting this Telehealth Consent, you agree that disputes between you and VirtuallyWell, the Medical Groups, or the Providers arising out of or related to this Telehealth Consent or the Service will be resolved by binding, individual arbitration, and you waive your rights to a jury trial and to participate in a class action lawsuit or class-wide arbitration. Please read the Terms of Use carefully.
MEDICAL EMERGENCY NOTICE: If you are experiencing a medical emergency, including but not limited to chest pain, difficulty breathing, severe bleeding, loss of consciousness, or any condition that you believe requires immediate medical attention, call 911 immediately or go to the nearest hospital emergency room. Do not use the Platform or attempt to contact your Provider through the Service for emergency medical care.
MENTAL HEALTH CRISIS NOTICE: If you are experiencing a mental health crisis, including contemplating suicide, harming yourself, or harming others, call or text the 988 Suicide & Crisis Lifeline or call 911 immediately. The Service is not appropriate for mental health emergencies.
LIMITATIONS OF TELEHEALTH: Telehealth is not appropriate for all medical conditions or concerns. The Service is designed to provide convenient access to healthcare for certain conditions, but it is not a substitute for in-person medical care when such care is medically necessary. Your Provider will determine, in their sole professional judgment, whether your condition is suitable for diagnosis and treatment via Telehealth.
This Consent to Telehealth Services & Authorization to Use and Disclose Medical Information ("Telehealth Consent" or "Consent") is a legally binding agreement entered into between you ("you," "your," or "Patient") and VirtuallyWell LLC ("VirtuallyWell," "we," "us," or "our"), and the independent, affiliated medical groups and healthcare providers (the "Medical Groups" and "Providers") who provide healthcare services through the VirtuallyWell platform.
This Telehealth Consent provides you with important information about the use of Telehealth technology and services and obtains your informed consent for the healthcare services delivered by the Providers using the online platforms, mobile applications, technology, and services owned and operated by VirtuallyWell (collectively, the "Service," "Platform," or "Site").
YOU HEREBY GRANT AGENCY AUTHORITY TO ANY PARTY WHO CLICKS "I AGREE" OR OTHERWISE INDICATES ACCEPTANCE OF THIS TELEHEALTH CONSENT ON YOUR BEHALF. If you are accepting this Consent on behalf of another person, you represent and warrant that you have the legal authority to do so and that such person is bound by this Consent.
This Telehealth Consent is incorporated into and made a part of the VirtuallyWell Terms of Use and the VirtuallyWell Privacy Policy. In the event of a conflict between this Telehealth Consent and the Terms of Use or Privacy Policy, this Telehealth Consent shall control with respect to matters specifically addressed herein. Capitalized terms used but not defined in this Telehealth Consent shall have the meaning ascribed to them in the Terms of Use or Privacy Policy.
For purposes of this Telehealth Consent, the following terms have the meanings set forth below:
"Telehealth" (also referred to as "Telemedicine") means the delivery of healthcare services, including diagnosis, treatment, consultation, and patient education, using electronic communications, information technology, or other remote means between a healthcare provider and a patient who are not in the same physical location. Telehealth may involve the use of audio, video, data communications, messaging, email, electronic transmission of medical records, photo images, personal health information, or other data.
"Platform" or "Service" means the websites (including www.virtuallywell.com), mobile applications, technology infrastructure, software, and related services owned, operated, or provided by VirtuallyWell to facilitate the delivery of Telehealth services and to connect patients with Providers.
"Protected Health Information" (PHI) has the meaning given to it under the Health Insurance Portability and Accountability Act of 1996 (HIPAA), as amended, and its implementing regulations (45 C.F.R. Parts 160 and 164). PHI generally means individually identifiable health information that is transmitted or maintained in any form or medium by a covered entity or its business associate.
By using the Service and accepting this Telehealth Consent, you are establishing a direct healthcare provider-patient relationship with one or more of the Medical Groups and its Providers. The nature and scope of this relationship will depend on the specific services you request and the clinical judgment of your Provider.
You are NOT establishing a healthcare provider-patient relationship with VirtuallyWell. VirtuallyWell is a technology company and administrative service provider, not a healthcare provider.
VirtuallyWell owns and operates the Platform. VirtuallyWell provides the following services:
Technology infrastructure and software to facilitate Telehealth consultations.
Administrative services, including scheduling, billing, payment processing, and customer support.
Marketing and promotional services.
Data hosting and security services (as a business associate to the Medical Groups).
VirtuallyWell does not:
Practice medicine or provide healthcare services.
Employ or directly supervise Providers (Providers are employed or contracted by the independent Medical Groups).
Control or interfere with the professional judgment of Providers.
Make medical decisions or recommendations.
Diagnose, treat, or prescribe medications.
The Medical Groups are independent entities responsible for providing all clinical services. The Providers are solely responsible for:
Evaluating your medical condition.
Making diagnoses.
Developing treatment plans.
Prescribing medications (if medically appropriate).
Providing follow-up care.
Maintaining your medical records.
Complying with all applicable laws, regulations, and professional standards.
The Providers exercise independent professional judgment in providing care to you. Their decisions are not controlled or influenced by VirtuallyWell.
The Medical Groups and Providers are "covered entities" under HIPAA and are required to comply with HIPAA's privacy and security rules. VirtuallyWell may act as a "business associate" to the Medical Groups, meaning we are also subject to certain provisions of HIPAA with respect to the PHI we handle on their behalf.
The use and disclosure of your PHI is governed by the Providers' Notice of Privacy Practices, which describes how your medical information may be used and disclosed and how you can access this information. You acknowledge that you have been provided with access to the Notice of Privacy Practices of the Medical Group and Providers, either through the Platform or upon request.
The services provided through the Platform are not intended to replace your relationship with your primary care physician or other regular healthcare providers. You should maintain an ongoing relationship with a primary care provider for comprehensive, longitudinal care. The Providers on the Platform are available to address specific health concerns and conditions, but they are not providing comprehensive primary care services.
The purpose of this Telehealth Consent is to obtain your informed consent to receive healthcare services remotely from the Providers via the Platform. The types of services that may be provided include, but are not limited to:
Evaluation, assessment, diagnosis, and management of various acute and chronic medical conditions. This may include conditions such as:
Dermatological conditions (e.g., acne, eczema, psoriasis, hair loss).
Sexual health and reproductive health conditions.
Mental health conditions (e.g., anxiety, depression) (if mental health services are offered).
Chronic disease management (e.g., diabetes, hypertension, thyroid disorders).
Other conditions as determined appropriate for Telehealth by your Provider.
Issuance, renewal, modification, and management of prescription medications. This includes:
Prescribing new medications.
Renewing existing prescriptions.
Adjusting dosages.
Discontinuing medications.
Your Provider will determine, in their sole professional judgment, whether it is medically appropriate to prescribe a medication via Telehealth.
Follow-up consultations to monitor your progress, assess treatment effectiveness, and make adjustments to your treatment plan as needed. This may include:
Reviewing laboratory test results.
Discussing side effects or adverse reactions.
Providing patient education and counseling.
Secure messaging, email, and exchange of medical records, images, photographs, videos, and other health information. Asynchronous communication allows you to communicate with your Provider at a time that is convenient for you, and your Provider will respond when they are available.
Real-time audio and video consultations conducted via the Platform. Synchronous consultations allow for interactive, face-to-face communication with your Provider in real time.
The use of Telehealth may have the following potential benefits:
You understand and acknowledge that no specific results or benefits can be guaranteed. The effectiveness of Telehealth will depend on various factors, including the nature of your condition, the quality of the technology, and your engagement with the treatment plan. Your condition may not improve and, in some cases, may worsen.
While Telehealth offers significant benefits, there are also potential risks and limitations. You acknowledge that you understand and accept these risks, which include, but are not limited to, the following:
The Provider will not be in the same physical location as you and will be relying primarily on the information you report, any images or videos you transmit, and any data from remote monitoring devices. The Provider will not be able to perform a hands-on physical examination, which may limit their ability to:
Accurately diagnose your condition.
Detect subtle physical findings.
Assess the severity of your condition.
Identify complications or comorbidities.
This limitation may result in a misdiagnosis, a delay in diagnosis, or a failure to diagnose a serious condition. It may also result in inappropriate or ineffective treatment.
The electronic systems, including the Platform, your own devices (computer, smartphone, tablet), and your internet connection, may experience technical failures or interruptions. These may include:
Poor video or audio quality.
Loss of connection or dropped calls.
Software bugs or errors.
Data corruption or loss.
System outages or downtime.
These failures could interrupt a consultation, cause delays in evaluation or treatment, result in a loss of your medical information, or prevent you from accessing care when you need it.
The transmission of medical information electronically carries a risk of interception, unauthorized access, or breach of privacy. While VirtuallyWell, the Medical Groups, and our technology partners use secure, encrypted systems and comply with HIPAA security standards, no system is perfectly secure. Potential security risks include:
Hacking or cyberattacks.
Malware or viruses.
Unauthorized access by third parties.
Accidental disclosure.
Loss or theft of devices containing your information.
A breach of privacy could result in the unintended disclosure of your PHI to third parties, which could cause embarrassment, discrimination, or other harm.
The delivery of Telehealth is subject to state and federal regulations, which may change over time. These regulations may limit:
The types of conditions that can be diagnosed or treated via Telehealth.
The medications that can be prescribed via Telehealth.
The states in which Providers can practice.
For example, the prescribing of certain controlled substances (e.g., opioids, benzodiazepines, stimulants) may be restricted or prohibited via Telehealth under federal and state laws. Your Provider will inform you if your condition or requested treatment is not appropriate for Telehealth.
Your Provider may not have access to your complete medical history, including records from other healthcare providers, hospitals, or pharmacies. A lack of access to complete information could result in:
Adverse drug interactions.
Allergic reactions.
Duplicate testing or treatment.
Contraindications to treatment.
Other judgment errors.
You are responsible for providing your Provider with accurate and complete information about your medical history, current medications, allergies, and other relevant information.
Your Provider may determine, in their sole professional judgment, that your condition is not suitable for diagnosis or treatment via Telehealth and that you need to be seen in person. You may be advised to:
See your primary care provider.
See a specialist.
Go to an urgent care center.
Go to an emergency room.
If your Provider determines that in-person care is necessary, you are responsible for seeking such care. Failure to do so could result in serious harm or death.
Any at-home or third-party laboratory testing services ordered through the Platform (e.g., blood tests, genetic tests, diagnostic imaging) may have inherent limitations. These tests may produce:
False positive results (indicating a condition is present when it is not).
False negative results (indicating a condition is not present when it is).
Inconclusive results (providing insufficient information for diagnosis).
A failure or defect in these tests, or an error in sample collection, handling, or processing, could impact your Provider's ability to diagnose or treat you correctly. VirtuallyWell and the Providers are not responsible for the accuracy or reliability of third-party laboratory tests.
Providers may not respond immediately to messages or requests you submit through the Platform. Response times may vary depending on the Provider's availability, the volume of requests, and the nature of your inquiry. Delays in communication could result in delays in diagnosis or treatment, which could be harmful in time-sensitive situations.
Despite receiving treatment via Telehealth, your condition may not improve, may remain the same, or may worsen. In some cases, treatment may cause side effects or adverse reactions that are worse than the original condition.
Certain technology used in the Service, including the Platform itself, may be in a beta testing or development phase and may not be a final, finished product. Technology in beta may:
Contain bugs, errors, or defects.
Have limited functionality.
Produce erroneous or inaccurate results.
Be unavailable or inoperable at times.
Cause data to be corrupted or lost.
You acknowledge and accept the risks associated with using technology that is still in development.
To use the Service, you must have:
A compatible device (computer, smartphone, or tablet).
A reliable internet connection.
A web browser or mobile app that meets the Platform's technical requirements.
Audio and video capabilities (for synchronous consultations).
You are responsible for ensuring that your device and internet connection meet these requirements. VirtuallyWell is not responsible for any inability to access or use the Service due to inadequate equipment or connectivity.
You are responsible for:
Maintaining the security of your devices.
Keeping your software and operating system up to date.
Using strong passwords and enabling multi-factor authentication.
Protecting your account credentials.
Logging out of the Platform when you are finished using it.
Notifying VirtuallyWell immediately if you believe your account has been compromised.
Telehealth is not the only way to receive medical care. You understand that you have the right to seek care in person at any time. Alternatives to Telehealth include:
You have the right to discuss these alternatives with your Provider at any time. Your Provider can help you determine the most appropriate setting for your care.
The Service is NOT designed or intended for use in medical emergencies. If you are experiencing a medical emergency, you must call 911 immediately or go to the nearest hospital emergency room. Do not use the Platform or attempt to contact your Provider through the Service for emergency medical care.
Medical emergencies include, but are not limited to:
Chest pain or pressure.
Difficulty breathing or shortness of breath.
Severe bleeding or trauma.
Loss of consciousness or fainting.
Severe allergic reactions (anaphylaxis).
Stroke symptoms (sudden numbness, confusion, trouble speaking, severe headache).
Seizures.
Severe abdominal pain.
Poisoning or overdose.
Any condition that you believe requires immediate medical attention.
If you are experiencing a mental health crisis, including:
Contemplating suicide or self-harm.
Experiencing thoughts of harming others.
Experiencing severe panic, anxiety, or psychosis.
You must call or text the 988 Suicide & Crisis Lifeline or call 911 immediately. The Service is not appropriate for mental health emergencies.
Providers may not respond immediately to messages, emails, or other communications you send through the Platform. Response times may vary depending on the Provider's schedule and availability. If you believe you are experiencing an urgent or time-sensitive medical issue that requires a response within a specific timeframe (e.g., within a few hours), you should not rely on the Platform's messaging service and should instead seek care at an urgent care center or emergency room.
If you experience technical difficulties with the Platform and the issue is not a medical emergency, you may contact VirtuallyWell customer support at support@virtuallywell.com.
Protecting your privacy and the security of your health information is a top priority for VirtuallyWell, the Medical Groups, and the Providers.
The Medical Groups and Providers are "covered entities" under HIPAA and are required to comply with HIPAA's Privacy Rule (45 C.F.R. Part 164, Subpart E) and Security Rule (45 C.F.R. Part 164, Subpart C). VirtuallyWell, in its role as a business associate to the Medical Groups, is also required to comply with certain provisions of HIPAA.
The electronic systems used in the Service incorporate network and software security protocols to protect the privacy and security of your information. These measures include:
While we take reasonable precautions to protect your information, no system is perfectly secure. We cannot guarantee the absolute security of your information. The internet and electronic communications are inherently insecure, and there is always a risk of unauthorized access, interception, or breach.
You are responsible for:
Keeping your account password confidential.
Not sharing your account with others.
Logging out of the Platform when you are finished using it.
Using secure internet connections (avoid public Wi-Fi for accessing sensitive health information).
Protecting your devices from malware and viruses.
You acknowledge that you have been provided with access to the Notice of Privacy Practices of the Medical Group and Providers, which describes in detail how your PHI may be used and disclosed, your rights with respect to your PHI, and how to file a complaint if you believe your privacy rights have been violated.
By accepting this Telehealth Consent, you authorize VirtuallyWell, the Medical Groups, and the Providers to use and disclose your personal information and PHI for the following purposes:
To provide, coordinate, and manage your healthcare and any related services. This includes:
Sharing your information with other healthcare providers involved in your care (e.g., specialists, laboratories, pharmacies).
Consulting with other healthcare professionals about your care.
Coordinating referrals and follow-up care.
To obtain payment for healthcare services. This includes:
Processing payments via credit card, debit card, or other payment methods.
Sharing information with payment processors and financial institutions.
Billing and collections activities.
For administrative, financial, legal, and quality improvement activities necessary to run our businesses and support the core functions of treatment and payment. This includes:
Quality assurance and improvement activities.
Training and education of healthcare professionals.
Business planning and development.
Legal and compliance activities.
Customer service and support.
Your PHI may also be used or disclosed:
As required by law (e.g., in response to a court order or subpoena).
For public health activities (e.g., reporting communicable diseases).
To prevent or lessen a serious and imminent threat to health or safety.
For law enforcement purposes (e.g., reporting suspected abuse or neglect).
For workers' compensation purposes.
For research purposes (only with your authorization or as permitted by law using de-identified data).
We will not use or disclose your PHI for marketing purposes without your separate, explicit authorization. We do not engage in fundraising activities.
You consent to receiving communications from VirtuallyWell, the Medical Groups, and the Providers electronically. This includes, but is not limited to:
Secure messages through the Platform.
Emails to the email address you provide.
Text messages (SMS) to the mobile number you provide.
Push notifications through the mobile app.
Electronic communications may include:
Appointment reminders and confirmations.
Test results and medical reports.
Treatment recommendations and instructions.
Prescription notifications.
Billing and payment information.
Marketing and promotional messages (only with your consent).
Service updates and announcements.
You understand and acknowledge that:
Email and text messaging are not always secure. There is a risk that your information could be intercepted or viewed by a third party.
You are responsible for securing your email accounts and mobile devices. This includes using strong passwords, enabling multi-factor authentication, and keeping your devices locked when not in use.
VirtuallyWell cannot guarantee the security or privacy of communications sent via email or text message. We recommend using the secure messaging feature within the Platform for sensitive health information.
You may opt out of receiving certain types of electronic communications (e.g., marketing emails, text messages) by following the unsubscribe instructions in the communication or by contacting us at support@virtuallywell.com. However, you may not opt out of receiving transactional communications that are necessary for the provision of services (e.g., appointment reminders, test results).
You acknowledge and agree that audio and video consultations will not be recorded or stored by VirtuallyWell or the Providers without your separate, explicit consent. However, details of your consultation, including the Provider's notes, diagnoses, and treatment plans, will be documented in your electronic medical record.
You agree that you will not record any audio or video of your consultations without the express written consent of your Provider. Unauthorized recording may be a violation of state or federal law.
By accepting this Telehealth Consent, you acknowledge, agree to, and represent the following:
You are at least eighteen (18) years of age.
You have the legal capacity to enter into this Consent.
If you are accepting this Consent on behalf of another person, you have the legal authority to do so.
You are physically located in the United States at the time you use the Service.
You are located in the same state as the Provider during any Telehealth consultation, as required by state medical licensing laws.
You will inform your Provider of your location at the beginning of each consultation.
You will provide truthful, accurate, and complete information regarding your identity, location, medical history, current medications, allergies, symptoms, and any other information requested by your Provider.
You understand that the Providers rely on this information to provide safe and effective care, and that providing false or misleading information could result in serious harm or death.
You will not deceive or attempt to deceive the Providers.
You will not use the Service to seek prescription medications for any fraudulent, unlawful, or illegitimate purpose, including but not limited to:
Obtaining controlled substances for non-medical use or distribution.
Obtaining medications using a false identity.
Obtaining medications on behalf of another person without authorization.
You will not record any audio or video of your consultations without the express written consent of your Provider.
You are responsible for the security of your own devices (computer, smartphone, tablet) and for maintaining the confidentiality of your account password.
You will not share your account credentials with others.
You will log out of the Platform when you are finished using it.
You will read all messages, reports, and instructions sent to you by the Providers.
You will follow your Provider's treatment recommendations and instructions.
You will contact your Provider if you have questions or concerns about your treatment.
You understand that your Provider will determine, in their sole professional judgment, whether your condition is suitable for diagnosis and treatment via Telehealth.
You understand that you may be advised to seek in-person care if your Provider determines that Telehealth is not appropriate for your condition.
You have had the opportunity to ask questions about Telehealth, this Telehealth Consent, and the services provided through the Platform.
All of your questions have been answered to your satisfaction.
VirtuallyWell and the Medical Groups do not accept commercial health insurance, Medicare, Medicaid, or any other third-party payor. All services and products are provided on a self-pay, cash basis.
By using the Service, you acknowledge and agree that:
You are explicitly choosing to obtain products and services on a self-pay, cash basis outside of any insurance plan or government healthcare program.
You have sole financial responsibility for all services and products provided to you through the Platform, including but not limited to:
Consultation fees.
Prescription medications.
Laboratory tests.
Shipping and handling fees.
Subscription or membership fees.
Neither you nor VirtuallyWell, the Medical Groups, or the Providers will submit a claim for reimbursement to any commercial insurance plan or federal or state healthcare program for the costs of the services and products provided to you through the Service.
You authorize VirtuallyWell to charge the payment method on file (credit card, debit card, or other payment method) for all fees associated with the services and products you order.
Certain services may be offered on a subscription basis, with automatic recurring payments. If you purchase a subscription service:
Your payment method will be automatically charged at regular intervals (e.g., monthly) until you cancel your subscription.
You may cancel your subscription at any time by contacting support@virtuallywell.com, subject to any minimum subscription period or cancellation notice requirements disclosed at the time of purchase.
All sales are final. Refunds are provided only in accordance with our refund policy, which is available on our website or upon request.
If your Provider determines that a prescription medication is medically appropriate for you, they may write a prescription to be filled by a pharmacy. There is no guarantee that you will be prescribed a medication. The decision to prescribe is at the sole discretion of your Provider based on their professional judgment and applicable laws and regulations.
VirtuallyWell has relationships with affiliated and third-party pharmacies (the "Partner Pharmacies") that can fill and ship prescriptions directly to you. For your convenience, prescriptions will be sent to one of the Partner Pharmacies unless you specify otherwise.
You have the right to have your prescription sent to any pharmacy of your choice. To do so, you must contact our support team at support@virtuallywell.com and provide the name, address, and phone number of your preferred pharmacy.
Prescriptions may be filled by and transferred between any of the Partner Pharmacies on your behalf, as permitted by law.
The prescribing of controlled substances (e.g., opioids, benzodiazepines, stimulants) via Telehealth is subject to federal and state laws and regulations, which may restrict or prohibit such prescribing. Your Provider will inform you if a requested medication cannot be prescribed via Telehealth.
We cannot guarantee that any particular medication will be available or in stock at the Partner Pharmacies. If a medication is not available, your Provider may prescribe an alternative medication or you may be advised to have your prescription filled at a different pharmacy.
Your Provider may order laboratory tests (e.g., blood tests, urinalysis, genetic tests) or other diagnostic services as part of your evaluation. These services may be provided by third-party laboratories (the "Labs").
You may be sent an at-home collection kit for certain laboratory tests. You are responsible for:
Collecting the sample according to the provided instructions.
Returning the sample to the Lab in a timely manner.
Ensuring that the sample is properly packaged and labeled.
Failure to follow the instructions or delays in returning the sample could result in inaccurate or invalid test results.
VirtuallyWell and the Providers are not responsible for the accuracy, reliability, or timeliness of laboratory test results provided by third-party Labs. You understand that:
Laboratory tests can produce false positive, false negative, or inconclusive results.
Errors in sample collection, handling, processing, or analysis could impact the accuracy of the results.
A failure or defect in the laboratory testing process could impact your Provider's ability to diagnose or treat you correctly.
The Labs are independent entities and are solely responsible for the quality and accuracy of their services.
To use certain services on the Platform, you may be required to verify your identity. This is necessary to:
Comply with federal and state laws and regulations.
Prevent fraud and ensure the security of the Platform.
Protect the safety of patients and the integrity of the healthcare system.
The identity verification process may require you to:
Provide a government-issued identification document (e.g., driver's license, passport).
Take a "selfie" photograph of yourself.
Provide other information to confirm your identity.
VirtuallyWell uses third-party identity verification service providers to verify your identity. These providers may create and use biometric information (e.g., facial geometry) to compare your selfie to the photo on your identification document.
VirtuallyWell does not collect or create biometric information about you. The biometric information is created and used solely by the third-party identity verification provider and is deleted by the provider after the verification process is complete.
VirtuallyWell may receive information extracted from your identification document (e.g., name, date of birth, address) and a confirmation of whether your identity was successfully verified, but we do not receive the biometric information itself.
By using the Service and submitting your identification document and selfie, you consent to the identity verification process described above.
The Service is intended for use by individuals who are at least eighteen (18) years of age. The Service is not designed for or directed to children under the age of 18.
We do not knowingly collect personal information from, or provide healthcare services to, individuals under the age of 18, even with parental consent.
If you are a parent or guardian and you believe that your child under the age of 18 has used the Service or provided personal information to us, please contact us immediately at support@virtuallywell.com so that we can delete the information.
The Providers are independent healthcare professionals who are employed by or contracted with the independent Medical Groups. They are not employees or agents of VirtuallyWell.
The Medical Groups and Providers are third-party beneficiaries of this Telehealth Consent and the VirtuallyWell Terms of Use. This means that they have the right to enforce the terms of this Consent and the Terms of Use against you.
You acknowledge and agree that VirtuallyWell is not responsible or liable for:
The provision of any medical services.
The acts or omissions of the Medical Groups or Providers.
Any injury, harm, or damages resulting from the medical services provided by the Medical Groups or Providers.
You release VirtuallyWell and its owners, officers, directors, employees, and agents from any and all liability relating to the provision of medical services.
VirtuallyWell may engage third-party service providers, technology partners, and platform vendors (collectively, "Third-Party Service Providers") to facilitate certain aspects of the Service, including but not limited to:
Scheduling and booking of appointments with Providers.
Secure messaging and communication with Providers.
Storage and management of medical records.
Payment processing and billing.
Identity verification services.
Laboratory services.
Pharmacy services.
Technology infrastructure and hosting.
Third-Party Service Providers are technology platforms and service vendors that facilitate the delivery of healthcare services. These providers are not healthcare providers and do not practice medicine. They provide administrative, technology, and operational services to support the delivery of healthcare services by the Medical Groups and Providers.
Your use of services provided by Third-Party Service Providers may be subject to their respective privacy policies and terms of use, which are separate from and in addition to this Telehealth Consent and the VirtuallyWell Terms of Use and Privacy Policy. By using the Service, you acknowledge that Third-Party Service Providers may have their own policies governing the collection, use, and disclosure of your information.
VirtuallyWell may share your personal information and PHI with Third-Party Service Providers to the extent necessary to provide the Service. All Third-Party Service Providers are contractually obligated to protect your information and to use it only for the purposes of providing services to VirtuallyWell and the Medical Groups.
Certain Third-Party Service Providers may act as "business associates" to the Medical Groups under HIPAA, meaning that they are subject to certain provisions of HIPAA with respect to the PHI they handle on behalf of the Medical Groups. VirtuallyWell enters into Business Associate Agreements with all Third-Party Service Providers that have access to PHI, as required by HIPAA.
You have the right to withdraw your consent to Telehealth at any time. Your withdrawal must be in writing and sent to support@virtuallywell.com.
A withdrawal of consent will be effective upon receipt by VirtuallyWell, but it will not affect:
Any action that has already been taken in reliance on your consent.
Any obligation you have to pay for services or products that have already been provided.
Any other provision of this Consent, the Terms of Use, or the Privacy Policy that survives termination.
After you withdraw consent, you will no longer be able to use the Service to receive healthcare services from the Providers.
Withdrawing your consent will not affect your right to future care or treatment from other healthcare providers, nor will it risk the loss or withdrawal of any health benefits to which you are entitled.
All Providers are licensed to practice medicine or provide healthcare services in the states in which they practice. You may verify the license status of your Provider by contacting the medical board or licensing authority in your state.
Physicians and other healthcare providers are licensed and regulated by the Medical Board of California. To confirm a license or file a complaint, go to www.mbc.ca.gov or call (800) 633-2322.
Complaints regarding licensed therapists, counselors, or other behavioral health professionals can be directed to the Board of Behavioral Sciences at www.bbs.ca.gov or (916) 574-7830.
If you have a concern about a medical professional, you may contact the medical board or licensing authority in your state. A list of state medical boards is available at www.fsmb.org.
We reserve the right to modify this Telehealth Consent at any time. If we make material changes to this Consent, we will notify you by:
Posting the revised Consent on the Platform and updating the "Date of Last Revision" at the top of this document.
Sending you an email notification (if you have provided an email address).
Providing notice through the Platform.
Your continued use of the Service after we have posted or notified you of changes constitutes your acceptance of the revised Consent.
